By accessing or using SupplyGenius (the “Platform”), you agree to be bound by these Terms and Agreement (“Terms”). If you do not agree to these Terms, please do not use the Platform.

2. Use of the Platform

• The Platform is intended for business use by companies seeking to procure industrial equipment for construction projects.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree not to misuse the Platform, including attempting unauthorized access, interfering with operations, or using the Platform for unlawful purposes.

3. User Data & Privacy

We collect and use your data as described in our Privacy Policy. We do not sell your personal information.

4. Confidentiality & Security of Your Business Data

• Project information, baseline specifications, vendor bid documents, and other business data you upload to the Platform (“Your Data”) remain your property. We do not claim ownership over Your Data.
• We treat Your Data as confidential. We do not share Your Data with other customers or disclose it to unrelated third parties, and we use it only to provide and improve the Platform as described in our Security page.
• We maintain administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of Your Data, as described on our Security page.

5. Intellectual Property

• All content, trademarks, and technology on the Platform are owned by SupplyGenius or its licensors.
• You may not copy, modify, distribute, or create derivative works from any part of the Platform without written permission.

6. Disclaimers & Limitation of Liability

• The Platform is provided “as is” and without warranties of any kind.
• We do not guarantee the accuracy, completeness, or suitability of vendor information or AI-generated recommendations.
• SupplyGenius is not liable for any damages arising from your use of the Platform.

7. Term & Termination

• You may stop using the Platform and close your account at any time.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, you may request an export of Your Data. We will retain and delete Your Data in accordance with the Data Retention terms in our Privacy Policy.

8. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform. Continued use after changes constitutes acceptance of the new Terms.
